1. Agreement to These Terms
By accessing or using Prospecting.Business (available at prospecting.business and prospecting.biz, collectively the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you must not use the Service.
These Terms apply to all users, including visitors, registered members, and subscribers. Additional terms may apply to specific subscription plans and will be presented at the point of purchase.
2. Description of the Service
Prospecting.Business is an artificial-intelligence-powered B2B sales-intelligence platform. Users submit a company website URL and the Service uses automated web-scraping, large-language-model analysis, and generative AI to produce:
- A business and Ideal Customer Profile (ICP) summary for the submitted company;
- A list of suggested prospective target companies;
- Contact information for individuals associated with those companies, including name and/or job title; and
- Draft personalised cold-outreach email copy.
Where a named individual contact cannot be identified, the Service will attempt to provide a relevant job title for the most likely decision-maker role at the target company in its place. This is provided as a guide to assist your own research and is not a guarantee that any such person exists, holds that role, or is contactable.
3. No Warranty — Data Accuracy & Reliability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. IN PARTICULAR:
- No accuracy guarantee. All data, leads, contact details, company descriptions, email drafts, and other outputs produced by the Service are generated by artificial intelligence and automated processes. We make no representation or warranty, express or implied, as to the accuracy, completeness, currency, or fitness for a particular purpose of any such output.
- Informational guide only. All results must be treated as a starting point for your own research and as a guide only. You must independently verify all information — including company names, contact names, job titles, email addresses, and any other data — through your own due diligence and reliable third-party sources before taking any action, including but not limited to sending communications, making business decisions, or sharing data with third parties.
- AI limitations. Large-language models can produce inaccurate, outdated, or fabricated information (commonly referred to as "hallucinations"). The Service does not claim that any named individual, company, email address, telephone number, or other contact detail is correct, current, or that the individual or company exists.
- No endorsement. Inclusion of a company or individual in the Service's output does not constitute an endorsement, recommendation, or verification by Prospecting.Business.
4. Limitation of Liability
To the fullest extent permitted by applicable law, Prospecting.Business and its officers, directors, employees, agents, and licensors shall not be liable to you or any third party for:
- any loss or damage arising from reliance on any output produced by the Service;
- any inaccurate, incomplete, or outdated data provided by the Service;
- any business decision made on the basis of results generated by the Service;
- any loss of profit, revenue, contracts, anticipated savings, goodwill, or data;
- any indirect, incidental, special, consequential, or punitive loss or damage; or
- any failure to identify a prospective customer, or any damage arising from contacting an individual or company on the basis of Service output.
Where liability cannot be excluded by law, our total aggregate liability to you in connection with the Service shall not exceed the greater of (a) the amount you have paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) £100.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
5. Your Responsibilities & Acceptable Use
By using the Service, you agree that you will:
- use the Service only for lawful business-to-business prospecting purposes;
- independently verify all data before using it for commercial communications, sales outreach, or any other purpose;
- comply with all applicable laws and regulations governing the collection, use, storage, transfer, and disclosure of personal data and the sending of direct marketing communications in every jurisdiction relevant to your activities, including the jurisdiction in which you are established, the jurisdiction in which the recipient is located, and any jurisdiction to which your outreach is directed;
- where your activities involve individuals or personal data in the United Kingdom, comply with the UK General Data Protection Regulation, the Data Protection Act 2018, the Privacy and Electronic Communications Regulations 2003 (PECR), and any other applicable UK data-protection, electronic-marketing, advertising, and communications laws;
- before sending any direct marketing communication, independently assess and satisfy all applicable requirements, including requirements concerning consent or another lawful basis, the distinction between individual and corporate recipients, transparency notices, sender identification, marketing content, the use of publicly available or third-party data, suppression and do-not-contact lists, opt-out mechanisms, and the prompt handling of objections and unsubscribe requests;
- where leads or target companies are located outside the United Kingdom, comply with all applicable local and regional requirements in the relevant target markets. These may include, without limitation:
- the United States Controlling the Assault of Non-Solicited Pornography and Marketing Act of 2003 (CAN-SPAM Act) and applicable state or other federal laws;
- Canada’s Anti-Spam Legislation (CASL) and related regulations;
- the EU ePrivacy Directive (Directive 2002/58/EC), as implemented in the relevant Member State, together with the General Data Protection Regulation (EU) 2016/679 and applicable national data-protection laws;
- Australia’s Spam Act 2003 and, where relevant, the Do Not Call Register Act 2006; and
- any equivalent or additional data-protection, privacy, electronic-marketing, anti-spam, consumer-protection, telecommunications, or advertising laws applicable to the relevant recipient, channel, or target market;
- carry out your own jurisdiction-by-jurisdiction assessment before commencing an outreach campaign, taking into account the target market, recipient location, recipient type, communication channel, content of the communication, source of the data, applicable consent requirements, and any territorial or extra-territorial scope of the relevant law;
- ensure that every communication you send identifies the sender accurately, does not use misleading header information or subject lines, includes any legally required contact information, and provides a clear, effective, and legally compliant method for the recipient to withdraw consent or opt out of further communications;
- maintain appropriate records demonstrating the lawfulness of your processing and outreach activities, including records of consent, lawful-basis assessments, data sources, notices provided, campaign details, and opt-out or suppression requests, where required by applicable law;
- not assume that the fact that information is publicly available, generated by the Service, or supplied by a third party means that the information may lawfully be used for direct marketing;
- not use the Service to harass, spam, mislead, deceive, or cause harm to any individual or organisation;
- not use the Service in breach of any applicable sanctions, export-control, consumer-protection, telecommunications, or advertising law;
- not reverse-engineer, scrape, resell, or redistribute Service outputs for commercial purposes beyond your own sales prospecting; and
- obtain independent legal advice where you are uncertain about the lawfulness of a proposed outreach activity, particularly where an outreach campaign involves multiple jurisdictions, personal data, purchased or third-party lists, automated messaging, or recipients who are individuals.
Prospecting.Business does not verify whether your intended use of any Service output complies with the laws of any particular jurisdiction, recipient category, communication channel, or target market. The Service does not constitute legal advice and does not determine whether you have a valid lawful basis, the necessary consent, or any other required authorisation to contact a particular person or organisation.
You are solely responsible for assessing and complying with all applicable laws before using Service outputs and for all communications you send using Service-generated content. Prospecting.Business accepts no liability for any complaint, enforcement action, penalty, claim, loss, or other consequence arising from your processing of personal data or your communications with any individual or organisation.
6. Contact Data & Privacy
Some outputs from the Service may include personal data (such as individual names, job titles, or publicly available professional email addresses). Such data is sourced from publicly available information on the internet and is intended solely to support lawful B2B sales prospecting.
When you process this personal data you become an independent data controller and must comply with all applicable data-protection legislation. We recommend you consult your own legal advisers before conducting any outreach campaign.
Our collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
7. Subscriptions & Billing
Certain features of the Service require a paid subscription. Subscription fees are charged in advance on a monthly or annual basis. By subscribing you authorise us (or our payment processor, PayPal) to charge your nominated payment method on a recurring basis.
- You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period; no refunds are given for unused time.
- We reserve the right to modify subscription prices on thirty (30) days' written notice. Your continued use of the Service after the notice period constitutes acceptance of the new price.
- In-app purchases made through the Apple App Store or Google Play Store are subject to those platforms' terms of sale in addition to these Terms.
8. Intellectual Property
All software, algorithms, trade marks, and content forming part of the Service (other than outputs generated specifically for you) are owned by or licensed to Prospecting.Business. Nothing in these Terms grants you any right to use our intellectual property other than as necessary to use the Service in accordance with these Terms.
You retain ownership of any data you submit to the Service (your website URL and related content). By submitting data you grant us a limited, non-exclusive licence to process it for the purpose of providing the Service to you.
9. Service Availability & Changes
We aim to make the Service available 24/7 but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service (or any part of it) at any time. Where we discontinue the Service entirely, we will give reasonable advance notice and a pro-rata refund for any unused prepaid subscription period.
10. Termination
We may suspend or terminate your access to the Service immediately and without notice if we reasonably believe you have breached these Terms, are using the Service unlawfully, or pose a risk to the Service or other users. On termination you must cease all use of the Service and any associated materials.
11. Third-Party Services
The Service uses third-party providers including Clerk (authentication), PayPal and RevenueCat (payment processing), and Google Gemini (AI analysis). Your use of these services is subject to their own terms and privacy policies. We are not responsible for the practices of any third-party provider.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on our website and, where appropriate, by email. Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those changes.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales. Any dispute arising from or in connection with these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
